PASSB TEAMS TERMS

The Teams agreement, in plain words.

These terms are between Omelette Inc., USA ("we", "us") and the company that starts PassB Teams ("you", "the company"). The Owner accepts them for the company before Teams starts. Our terms of use, privacy policy and data agreement also apply. If they differ, these terms win for Teams.

What PassB provides

  • A work card for each seat you pay for, in the PassB app on Android and iPhone.
  • The admin console at passb.app/admin, and Teams admin in the PassB apps: people, card design, contacts, events, reports and billing.
  • Private links. Each share makes a new link that can be stopped. Your admins can stop a person's work links.
  • Shared work contacts. Cards sent back to a work card, and people your team marks "for work", are kept for the company.
  • Events. Up to 2 included events in each rolling 12 months, each for up to 50 guests. More guests can be bought for one event.
  • Reports of work shares, opens and contacts, with CSV export.
  • Support by email at contactus@passb.app.
  • Uptime: we work to keep PassB running, but we do not promise a set uptime.
  • Data in the USA: your data is kept on our server in the United States.

What the company agrees to

  • The person who accepts these terms may bind the company to them.
  • You use PassB only in lawful ways.
  • You tell your people, before you invite them, that the company uses PassB and what it sees (see Data), and you get their consent where the law asks for it.
  • You invite, by email, text or guest list upload, only people you have the right to contact.
  • You keep admin sign-ins safe, and you remove admins who should no longer have access.
  • You do not use PassB for spam, or to share false, hateful or illegal content, or content you have no right to use.
  • You pay for your seats each month.

Billing

  • Price: $2.49 a person a month for the first 25 people, then $1.99 a month for each person after that. At least 5 seats.
  • Monthly, through our payment partner Stripe. It renews each month until you cancel.
  • Tax: sales tax is added where the law asks for it.
  • Seats: added seats are charged at once for the rest of the month. Fewer seats lower your next bill.
  • Price changes apply from your next bill after we tell you.
  • Cancel any time in the admin console, Settings, Billing. Teams keeps working to the end of the month you paid for.
  • Refunds: none for part of a month, unless the law says we must. If we charged you by mistake, we fix it.
  • Late payment: if a payment fails, we email you. After 14 days without payment, the company's account can only be read, not changed, until it is paid.

Data

  • The company owns its work data: work contacts, work cards, events and reports. We handle it for you, as our data agreement says.
  • Your people's privacy: the company sees work activity only. It never sees a person's personal card, personal contacts, where they are, or anything else on their phone.
  • When a person leaves or is removed, their work links stop at once. Their work contacts stay with the company.
  • Services we use to run PassB are listed in our privacy policy.

Ending

  • You can end Teams any time by cancelling (see Billing).
  • We may make the account read-only, or suspend it, for unpaid bills after the 14-day grace, or for abuse or a break of these terms. When we can, we tell you first and say why.
  • After a cancel, work links stop 30 days after the plan ends.
  • Export what you need from the console before you end Teams.
  • We keep the company's data so you can start again, until the Owner asks us to delete it. We then delete it within 30 days. Backup copies go when those copies are replaced.

Warranty and liability

PassB is provided "as is", without warranties of any kind, as far as the law allows. We are not liable for indirect or lost-profit losses. Our total liability to the company for any claim is limited to what the company paid us for Teams in the 12 months before the claim.

Changes

When we change these terms, we post a new version with a new date and version id. The Owner sees a notice in the admin console and is asked to accept the new version. Price changes follow Billing.

Law

These terms are governed by the laws of the State of New York, USA. Courts in New York decide any dispute.
